1. APPLICATION FOR MEMBERSHIP
    1. 1.1. You agree to the following terms and conditions (the "Conditions") as a condition of acceptance by the Lawn Tennis Association ("us" or "we") of your application for Crown Club membership.
    2. 1.2. Members of the Crown Club will be offered a package of rights and benefits for five years commencing 1 January 2010 and ending on 31 December 2014. The package of rights and benefits and membership entry may be altered at our discretion from year to year.
    3. 1.3. If your application to join the Crown Club is successful, you will be able to pay the membership fee by credit card or debit card, or, at the discretion of the Crown Club, by cheque or telegraphic bank transfer upon payment of a 10% deposit by credit card or debit card. In this case, you will be given 10 working days in which to complete the payment of the balance of the applicable membership fee. Failure to pay the membership fee within 10 working days of notice will result in your application being voided. Applicants who are unsuccessful will be placed on a register for possible membership in subsequent years or will be offered a membership transfer, as they arise.
    4. 1.4. Membership of The Crown Club is open only to:
      1. individuals over the age of 18 ("Personal Members"); or
      2. corporate entities such as companies and partnerships ("Business Members").
    5. Your application will not be accepted, or may be terminated if (without limitation) you have in our reasonable opinion, breached any of the Conditions.
    6. 1.5. We reserve the absolute right to refuse an application for membership at our sole discretion without reason and will not enter into correspondence relating to such refusal.
    7. 1.6. Your membership will commence on the date we receive your payment of the membership fee and shall continue until 31st December 2014, upon which date your membership shall expire.
    8. 1.7. Subject to availability, the membership fee for applications that are received after 30th June 2010 shall be pro rated.
  2. MEMBERSHIP
    1. 2.1. As a Personal Member you will have the right to purchase 2 tickets per day of the AEGON Championships or any replacement or successor tournament. Business Members will have the right to purchase 4 tickets per day of the AEGON Championships or any replacement or successor tournament.
    2. 2.2. Subject to availability, you will be able to select specific seats in either the south or east stands in the show court from the range provided by the Crown Club. These seats can be retained from year to year or changed annually providing that the new choice is available.
    3. 2.3. We will inform you of the price of the tickets and the deadline for purchasing tickets for each AEGON Championships. We reserve the right to change the purchase period at any time.
    4. 2.4. Personal Members have the option to purchase two tickets for every day of the Championships while Business Members have the option to purchase four tickets for every day of the Championships on-line at www.thecrownclub.co.uk from February 1st each year.
    5. 2.5. Crown Club Members are obliged to select and pay for their tickets no later than April 28th each year. After this date, the availability of tickets cannot be guaranteed, as Crown Club Members will lose their right to buy tickets for the Crown Club seats that they had pre-selected.
    6. 2.6. Upon the request from a Crown Club Member, the LTA will buy back any surplus tickets from Members and refund the full face value of any tickets, until April 30th. From May 1st until the start of the Championships, the LTA will sell surplus tickets on behalf of Members, on a non-guaranteed basis, and reimburse Members the full face value of any tickets sold within 30 days.
    7. 2.7. You will inform us at the time of purchase of any tickets if you or any of your guests have any disability, so that any requirements they may have can be discussed. Subject to availability, we will aim to meet any reasonable requirements.
    8. 2.8. Membership packs which are sent to the mailing address listed in your membership account will be deemed to have been received by you, if posted to that address. All other correspondence will be sent to the email address listed in your membership account.
    9. 2.9. We will require the event tickets (and Crown Club passes) to be collected by you and each of your guests in person at a time and location at Queen’s Club to be notified by us prior to the AEGON Championships. In such circumstances, you and your guests will each be required to provide photo evidence of your identity in order to collect the tickets.
    10. 2.10. As a Crown Club Member, you will be able to transfer your tickets to your guests provided that:
      1. you do not receive any payment or benefit in return;
      2. the transfer must be subject to these Conditions and the Crown Club Code of Conduct, and you shall inform your guest of this and procure that your guest will comply with the same;
      3. the ticket must be for your guests’ personal use only;
      4. you promptly provide the name and address of each of your guests if asked to do so by us;
      5. the transfer is not part of a promotion or competition (unless you have received our prior written approval to offer tickets in this manner).

        Any transfer which does not meet all of the above criteria:
      6. will render the ticket void, and the holder may be refused admission to or ejected from Queen’s Club without refund; and
      7. will entitle us to terminate your membership.
    11. 2.11. For each day of the AEGON Championships that you have purchased tickets you and your guest(s) will have the right to access the Crown Club Lounge situated on-site at The Queen’s Club, upon presentation of your membership card. (Possession of a ticket alone will not permit access to the Lounge.)
    12. 2.12. To gain entry, the guest(s) must be accompanied by the corresponding Crown Club Personal Member. In the event that a Personal Member is unable to attend the Championships, their membership may be temporarily transferred to another individual, at no charge, on a maximum of 2 separate days. For the temporary transfer of membership to an individual for additional days, there will be a daily fee of £75 per person, providing that 24 hour prior notice of the identity of the transferee (and any guest) is registered with the Crown Club Executive Manager and the fee payment is made in advance via credit or debit card.
    13. 2.13. Business Members are required to notify the Crown Club Executive Manager by phone or e-mail of the identities of the individuals wishing to access the Crown Club Lounge by 6pm on the day before the scheduled visit.
    14. 2.14. Re-entry to the Lounge during the day will only be permitted for those individuals wearing the correct colour-coded daily pass. The Crown Club Lounge is reserved exclusively for Crown Club Members and their registered guests. Complimentary snacks, soft drinks, beer, wine & Pimms will be served in the Lounge throughout the day.
    15. 2.15. A concierge service will operate from 1st May until the conclusion of the AEGON Championships each year.
    16. 2.16. You will have access to a priority booking service for reservations in the Patron’s restaurant at the AEGON Championships.
    17. 2.17. For each day of the AEGON Championships that you have purchased tickets you will receive a complimentary daily event programme and drawsheet.
    18. 2.18. As a member of the Crown Club you will also have access to a priority booking service to purchase:
      1. tickets to the ATP World Tour Finals event at the O2 Arena in London;
      2. dining space at our Number 1 suite at Wimbledon; and
      3. tickets for Australian, French and US Grand Slam events.
    19. 2.19. You will be permitted to transfer or sell the remaining balance of your membership to another party at any annual point during the term of the membership. We will maintain a register of interested parties to facilitate this process and will charge a 20% handling fee for managing the transaction. Alternatively, we offer a buy-back service that will refund 70% of the outstanding surrender value of the membership. If you intend to sell or transfer your membership independently you must promptly inform us in writing of the full details of the potential new member prior to the transaction. All such sales or transfers will only be valid if approved in advance by us. We reserve the absolute right to refuse an application to sell or transfer your membership at our sole discretion without reason and will not enter into correspondence relating to such refusal.
    20. 2.20. Personal membership may also be registered in the name of a husband, wife or partner for the use of the Crown Club by both parties.
    21. 2.21. You will be given the option to renew or extend your membership at the end of the initial five-year period on such terms as we notify to you. We will inform you of the deadline for renewal or extension of your membership.
    22. 2.22. Some of the services and benefits offered to you are provided by third party organisations over which we have no direct control. We will use our reasonable endeavours to ensure that the services and benefits expressed or advertised as being available to the Crown Club Members will be available, but cannot guarantee or warrant such benefits and services in any way whatsoever. Any arrangements made by you with such third parties will be subject to the terms and conditions of that third party.
    23. 2.23. In the event of loss, theft or unauthorised use or misuse of your membership or account details, it is your responsibility to immediately advise us. You may be liable for any use or misuse of your membership or account details until we are notified of the loss, theft or unauthorised use. We will not be liable for misuse of lost or stolen membership or account details or any unauthorised use of the same.
    24. 2.24. We reserve the right to determine the absolute levels of membership of the Crown Club from time to time.
  3. UNDERTAKINGS AND ACKNOWLEDGEMENTS
    1. 3.1. Further to the Conditions set out herein and as a condition of membership of the Crown Club, you undertake, as for yourself and for and on behalf of all of your guests, to comply with the following. You and each of your guests:
      1. will not be entitled to enter Queen’s Club except upon presentation at the designated entrance of an appropriate ticket and subject to compliance with such other checks on admission as we may impose from time to time (including searches);
      2. will comply with all present and future laws, ordinances, orders, rules and regulations (whether statutory or otherwise and including health and safety requirements) governing Queen’s Club;
      3. will be required to conform to the Crown Club Code of Conduct as amended or revised from time to time and be dressed appropriately. Trainers, flip-flops, shorts and t-shirts will not be permitted;
      4. will not behave in a threatening, abusive or violent manner while using the Crown Club or when otherwise in or in the vicinity of Queen’s Club; you will be held responsible for your own and any of your guests’ actions including, but not limited to, actions arising from the consumption of alcoholic beverages;
      5. will not advertise, sell, transfer, offer for sale, expose for sale or make available for sale by another (or give away to a person who agrees or offers to pay for some other goods or services) your tickets, except as permitted under condition 2.7. This prohibition includes, without limitation, advertising, offering for sale or selling tickets to or via ticket agents, brokers and/or hospitality companies;
      6. will not bring children under the age of 11 into the Crown Club Lounge;
      7. will not use (or allow others to use) any ticket or any other item or benefit provided to you by virtue of your membership of the Crown Club as a membership benefit (or similar) of any club or organisation;
      8. will not use in an auction, use as a gift or prize in any internal or external promotion or any internal or external competition or seek to profit from any ticket or other item or benefit provided by virtue of being a member of the Crown Club or release any publicity or make any public statements about any internal promotion or competition relating to the Crown Club, unless you have received our prior written consent;
      9. acknowledge that tickets are provided subject to the terms and conditions of the ticket issuer and by accepting and/or using the ticket in each case you and any of your guests are automatically deemed to have agreed to be bound by those terms and conditions;
      10. acknowledge that we, our officers, employees, agents and contractors will not be liable or responsible for any loss, damage, or injury to you or any of your guests, or any of your or your guest’s property resulting from any cause whatsoever, unless due to the negligence or the wilful misconduct of us or of our officers, employees or agents;
      11. acknowledge that our aggregate liability to you or any of your guests, whether in contract or tort (including negligence) or in any other way, will not exceed the aggregate cost of the tickets purchased by you for the relevant AEGON Championships, or where no tickets have been purchased, our aggregate liability shall not exceed the membership fee (however we do not seek to exclude or limit our liability for death or personal injury caused by us, our officers’, employees’ or agents’ negligence or for any fraud or wilful misconduct);
      12. acknowledge that if, by reason of an event of force majeure, we are delayed in, or prevented from, performing any of our obligations, such delay or non performance will not be deemed to be a breach of these Conditions and no loss or damage may be claimed by you by reason of the event of force majeure; and
      13. will be bound by the terms and conditions established from time to time by us for cancellation, abandonment, postponement, replaying or rescheduling of the AEGON Championships.
    2. 3.2. You provide the above undertakings and acknowledgements for yourself and on behalf of each of your guests, and you must inform each of your guests that he/she is bound to observe these Conditions. You must procure the compliance with the same by each guest.
    3. 3.3. If you or any of your guests fails to comply with any of the provisions of these Conditions, we may at our sole discretion, and without prejudice to any of our other remedies, move you and/or any of your guests to a different location within Queen’s Club, eject you and/or any of your guests from Queen’s Club without any refund or compensation and/or terminate your membership without any liability to you whatsoever (subject to any duty on us to mitigate).
  4. INDEMNITY
    1. 4.1. You agree to indemnify us and our affiliates and their respective officers, employees, agents and contractors against any liability, losses, claims, demands, costs and expenses, including, without limitation, legal and other professional fees, arising out of any personal injury or property damage caused by any act or omission of you or any of your guests.
    2. 4.2. You will indemnify us fully against:
      1. all legal fees and other professional fees and costs incurred by us, including any costs incurred in investigating you in relation to the enforcement of these Conditions whether or not litigation is actually commenced and including any appeal proceedings;
      2. the cost of repair of any damage (other than ordinary wear and tear) to any part of Queen’s Club caused by any act or omission of you or your guests; and.
      3. third party loss or damage caused by any act or omission of you or your guests.
  5. GENERAL
    1. 5.1. These Conditions contain the entire agreement with respect to your membership, and will supersede any written instrument or oral agreement previously made or entered into with regard to the membership. You hereby acknowledge that you have not relied on any representation, warranty or other assurance save for those set out in these Conditions. You hereby waive all rights and remedies which, but for this Condition 5, might otherwise be available to you in respect of any such representation, warranty, collateral contract or other assurance provided that nothing in this Condition 5 will limit or exclude any liability for fraud or fraudulent misrepresentation.
    2. 5.2. We reserve the right to amend or modify these Conditions at any time by posting any amended or modified set of Conditions on the Crown Club website not less than 28 days’ before such change will take effect.
    3. 5.3. No waiver by us of any default or breach by you of these Conditions will be construed to be a waiver or release of any other subsequent default or breach by you or any of your guests of these Conditions.
    4. 5.4. No failure or delay by us in the exercise of any remedy provided for in these Conditions or available in law or in equity will be construed a forfeiture or waiver thereof or of any other right or remedy available to us.
    5. 5.5. These Conditions are governed by English law. The parties agree that the courts of England have exclusive jurisdiction to settle any dispute arising in connection with these Conditions and the parties submit to the exclusive jurisdiction of the English courts.
